Welcome to Wakapdf (wakapdf.com), an online platform providing PDF processing tools including (but not limited to) merging, splitting, compressing, converting, editing, signing, watermarking, unlocking, rotating, OCR, and organizing PDFs (collectively, the “Service”).

These Terms of Service (“Terms”) govern your access to and use of the Service provided by Wakapdf. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old (or the age of majority in your jurisdiction, if higher) to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to agree to these Terms.

2. Accounts

Some features require creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
You agree to provide accurate, current, and complete information during registration and to update it as necessary.
We reserve the right to suspend or terminate accounts for violations of these Terms, fraudulent activity, or at our sole discretion.

3. Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Service to process, upload, or distribute content that is illegal, harmful, threatening, abusive, defamatory, obscene, infringing, invasive of privacy, or otherwise objectionable
Attempt to reverse-engineer, decompile, disassemble, or extract source code from the Service
Circumvent, disable, or interfere with security-related features or usage limits
Upload files containing viruses, malware, trojans, or other malicious code
Use automated systems (bots, scrapers, etc.) to access the Service except as expressly permitted
Use the Service in any manner that could damage, disable, overburden, or impair our systems or interfere with other users
Use the Service to send unsolicited commercial messages or spam

4. User Content & Uploaded Files

You retain ownership of any files you upload (“User Content”).
By uploading files, you grant Wakapdf a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to temporarily store, process, transmit, and display your files solely as necessary to provide the Service.
This license ends when your files are automatically deleted after processing (typically within minutes to hours).
You are solely responsible for the legality, accuracy, and appropriateness of any files you upload. You warrant that you own or have all necessary rights to upload and process such files.

5. Free vs. Premium Use

Free tier: Limited daily/monthly usage quotas, basic features, and possible slower processing during peak times.
Premium tier: Higher or unlimited quotas (subject to fair-use policy), priority processing, additional features, and removal of certain restrictions — available via subscription.
Subscriptions are billed through third-party payment processors. All fees are non-refundable except as required by law or stated in our refund policy.
We may change pricing, quotas, or features at any time. Significant changes will be notified in advance where practicable.

6. Intellectual Property

The Service, including its design, text, graphics, software, logos, and underlying code, is owned by Wakapdf or its licensors and protected by copyright, trademark, and other intellectual property laws.
Nothing in these Terms grants you any right to use our trademarks, logos, or branding without written permission.

7. No Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR AVAILABILITY.WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR INTEGRITY OF PROCESSED FILES (INCLUDING OCR RESULTS, SIGNATURE VALIDATION, OR FORMAT PRESERVATION).

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAKAPDF, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR £100 / €100 / $100, WHICHEVER IS GREATER, IF YOU ARE A FREE-USER).

9. IndemnificationYou agree to indemnify, defend, and hold harmless Wakapdf and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your violation of these Terms, your User Content, or your use of the Service.

10. TerminationWe may suspend or terminate your access to the Service at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

11. Changes to the Service or TermsWe may modify the Service or these Terms at any time. Continued use after changes constitutes acceptance of the updated Terms. Material changes will be notified via email (for registered users) or prominent notice on the site.

12. Governing Law & Dispute ResolutionThese Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles.Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.13. Miscellaneous

These Terms, together with our Privacy Policy and any other referenced policies, constitute the entire agreement between you and Wakapdf.
If any provision is held invalid, the remainder remains in effect.
Our failure to enforce any right does not constitute a waiver.
